CENTENNIAL SOCCER CLUB
BYLAWS
ARTICLE I
NAME
The name of the organization shall be known as Centennial Soccer Club, hereinafter referred to as the Club. The club is and shall be known as a non-profit organization with IRS No. 93- 0683746.
ARTICLE II
PURPOSE
The purpose of this Club shall be to teach, govern and promote soccer at both recreational and competitive levels with Centennial Soccer Club. Also to develop players with good sportsmanship and respect for themselves and others through positive reinforcement.
ARTICLE III
AUTHORITY
The final authority of this Club shall be vested in the membership, which shall elect a Board of
Directors, which shall exercise the right of decision on all matters pertaining to Club affairs between Annual General Meetings.
ARTICLE IV
MEMBERSHIP
SECTION 1: Application of players desiring membership in this club shall be submitted in writing to the board in the format prescribed by the Board. An annual fee established by the Board shall accompany all player applications. Acceptance by the Board of the foregoing shall constitute approval of the application and the player shall abide by the rule and regulations of the Club. Board members, Club coaches, parents and legal guardians and Club referees shall be Ex-officio members.
SECTION 2: The Club shall provide secondary athletic insurance for each player listed on the roster of a member team. Indoor soccer is not covered under this insurance.
SECTION 3: Coaching is considered to be a privilege extended by the Board. All recreational coaches to be approved by the Board
ARTICLE V
TERMS OF OFFICE
SECTION 1: The term of office for an elected officer shall be one (1) year, with the exception
of Registrars, which shall be for two (2) terms, alternating years. The terms of office are to begin at the termination of the Annual General Meeting at which they are elected. Vacancies occurring subsequent to election shall be filled by the majority vote of the Board; except if the office of President is vacated, the Vice President shall succeed to the office of President and a new Vice President shall be elected by the Board. The term of office for officers elected by the Board shall expire with the next Annual General Meeting following such elections, at which time the un-expired term of the vacated office shall be filled by the majority votes of the membership present over the age of 18 on the day of the meeting.
SECTION 2: ELECTED OFFICERS AND DUTIES
A) PRESIDENT - This members shall supervise all activities of the Club and Board. This member will serve as chairman at all Club/Board meetings. This member shall have the authority to appoint committees as needed and shall be the Ex-officio member of all committees. This member shall call Club General Meetings as the need arises, or when requested by fifty percent or more of elected officers. Chairman of the Board may vote only in the case of a tie.
B) VICE PRESIDENT - This member shall assume the duties of the President in his/her absence and otherwise assist the President as required. This member shall be the Clubs representative to the Columbia River Youth Soccer Association monthly meetings. This member will report back to the Board meetings of the District and State information. This member shall also coordinate the Clubs Classic program. The Vice President is a member of the Classic Committee. This member shall be a voting member of the Board.
C) SECRETARY - This member shall be custodian of all correspondence and record minutes to be sent to Board members prior to the next Board Meeting. This member shall notify all Board members of meetings. This member shall be a voting member of the board.
D) TREASURER - It shall be this members responsibility to keep financial records, to receive all moneys and disburse moneys for all expenditures. This member shall provide a written financial report at all Board Meetings and provide an annual financial report at the Annual General Meeting. This member shall maintain a checking account with signature authority by the President or Treasurer, and/or another assigned Board Member. This member shall be a voting member.
E) REGISTRARS - Four registrars - Boys recreational, Girls recreational, Micro Soccer, and Classic will be responsible for the dissemination of information regarding registration. These members shall also be responsible for certifying birth dates of all Club players in their respective divisions and for the formation of teams within their respective divisions. The Registrars are voting members.
F) REFEREE COORDINATOR - This member shall report to the Board on all matters and activities concerning referees. This member shall have the authority to form a committee, of which he shall be a member, to assist with the carrying out of his duties. This member shall schedule all referees for the Club. This member will hold clinics to upgrade referees. This member shall be responsible for the collecting of scores and reporting these scores to the Registrars upon request. This member can hold joint meetings with the Coach Coordinator and coaches to distribute Club Referee and Game Rules. This member shall keep accurate records of games, referees, scores, linesmen, number of games by each referee, type or division of game, pay records as approves by the Board, and shall furnish upon request to any referee a summary of games. This member shall be a voting member.
G) EQUIPMENT MANAGER - This Board member shall be responsible to the Board for the purchase of uniforms and equipment. This member shall also be responsible for issuance, written annual accountability, and disposition of all players’ uniforms and storage of all equipment owned by the Club. This member shall be a voting member.
H) COACH COORDINATOR - This member will act as a spokesperson for the coaches at the Board meetings. This member shall have the authority to form a committee to assist with the carrying out of his duties. The Coach Coordinator will be responsible for assigning fields for practices. This member shall be responsible for recruiting and upgrading the proficiency of the coaches of the member teams. This member shall coordinate training activities within the Club and be available to the various coaches to assist in the resolution of coaching problems that may occur. The Coach Coordinator shall be responsible for the League library, Club films, Club training devices and Club training facilities. This member shall be a voting member.
I) FIELD MANAGER - This member shall have the authority to form a committee to help with field maintenance including, but not limited to, periodic safety inspections, mowing, lining, provision of goal posts, and recommendations for needed improvements. This member shall report to the Board on all matters pertaining to fields assigned to the Club for use by team members. This member shall be a voting member.
J) PUBLICITY COORDINATOR - This member shall be responsible for publicity coordination on matters pertaining to soccer within the Club. This member shall also be responsible for information in newsletters, papers and advertising pertaining to soccer for the Club. This member shall be responsible for issuing a minimum of 4 (four) newsletters. (February, April, August, October) This member shall be a voting member.
K) VOLUNTEER COORDINATOR - This member will lead and organize fund-raisers, recruit
volunteers for club activities & other needs. This member can appoint committees and
shall help coordinate opening day in September. This member shall be a voting member
L) HEAD COACH- This member shall support and communicate with Classic coaches as necessary. This member will recommend Classic coaches to the Board. This member will be a member of the Classic Committee. The member shall approve the Assessment panel for tryouts. The Head coach will conduct a coach’s meeting before tryouts. This member shall be a voting member.

SECTION 3: The Club fiscal year shall begin and end with successive Annual General Meetings. Vacancies occurring subsequent to elections shall be filled by the majority vote of the Board. Closing of the books must be done by December 31st for tax purposes.
SECTION 4: A Board member may be removed due to negligence of duties including, but not limited to, unexcused absences from two successive Board meetings. To remove a Board member, two-thirds (2/3) affirmative votes of the Board will be required.
SECTION 5: Upon a two-thirds (2/3) majority vote of the Board, a Club coach may be removed from the roster of his team and denied coaching privileges of the Club, if investigation by the Board establishes that by action or words a coach is using methods inconsistent with the principals of sportsmanship, gentlemanly conduct and fair play. All accusations shall be in written form and signed by the person or person initiating the complaint within 14 days. Appeal in writing by a suspended coach outlining corrective action to be taken to assure no further violation will be considered by the Board. An appearance by the suspended coach before the Board to review the appeal will be required before a final decision is made. If a coach fails to respond by written request to the Board within 2 weeks of receiving the notice he will forfeit club privileges.
ARTICLE VI
MEETINGS
SECTION 1: A quorum of the Board shall consist of two-thirds of the voting members of the Board plus the acting Chairman. Proxy votes will be accepted.
SECTION 2: General and/or special meetings shall be held at a time and place specified by the President of the Board.
SECTION 3: Annual General Meetings shall be one week after the end of the Fall Recreation season preceded by timely notification of the time and place to all officers and coaches. The order of business shall be as follows;

SECTION 4: The rules contained in the current Robert’s Rule of Order Newly Revised, copy kept by the President, shall guide the Club.
ARTICLE VII
BYLAW CHANGES AND AMENDMENTS
SECTION 1: Changes and amendments to these Bylaws may be affected at the Annual General Meeting upon two-thirds (2/3) majority vote of the General Assembly.
SECTION 2: A proposed change or amendment to these Bylaws must be submitted in writing to the Secretary of the Club not later than thirty (30) days before the Annual General Meeting to be transmitted to member teams by the Secretary not later than fifteen (15) days prior to said meeting.
SECTION 3: In any case in which these Bylaws are in conflict or become in conflict with the Columbia River Youth Soccer Association Bylaws or the Oregon Youth Soccer Association Bylaws, the Bylaws of the Associations shall take precedence, and the Club Bylaws shall be amended at the next Annual General Meeting to eliminate the cause of conflict.
ARITCLE VIII
PROVISIONAL RULES
The Board, by two-thirds (2/3) majority vote, may from time to time make temporary rules or regulations governing specific cases or occasions not provided for in these Bylaws, but which may be necessary for the carrying out of the objectives of this Club.
ARICTLE IX
PLAYER REGISTRATION, PROOF OF AGE AND AGE DIVISION
SECTION 1: Player registration will be conducted in accordance with the rules and regulations of the Centennial Soccer Club.
SECTION 2: All players shall be required to furnish proof of age in accordance with the rules and regulations of the Oregon Youth Soccer Association, Section A, Article 1, Sub-Section B Paragraph 3 and the Association.
SECTION 3: After receiving a team roster, coaches shall not permit a player to play in any game and/or practice whatsoever unless that player is properly listed and assigned by the Registrar to the team roster of the team in question.
SECTION 4: Teams will be organized by age and will play in age division specified by the Club.
ARTICLE X
PLAYER ASSIGNMENT
SECTION 1: A team shall consist of a minimum of seven (7) or more rostered players who are eligible to play.
SECTION 2: All players must be assigned to a team by the Club Registrars on the basis of age and size of teams in the particular age division.
SECTION 3: It is recognized that incomplete teams may result from assignment of players in strict accordance with this Article. All such cases will be referred to the Board who, at their discretion, may waive area or team size requirements as best fits the occasion.
ARTICLE XI
TEAM SIZE & PRACTICES
SECTION 1: A team shall have a maximum of fifteen (15) players. If each team in a division has the maximum number of players, additional players may be reassigned by the Club Registrars up to the limit of eighteen (18) players.
SECTION 2: Upon approval of the Board, players may be dropped from a team roster for disciplinary reasons or other satisfactory reasons, such reasons to be submitted to the Board in a written form and signed by the coach.
ARTICLE XII
TRANSFER OF PLAYERS
SECTION 1: A player must play on the same team as during the previous season except as otherwise specified by the Articles.
SECTION 2: Any player registered with a member team which has ceased to operate and accordingly has been declared defunct by the Board is entitled to be transferred to any other team within the Club at any time during the season. The Board, the parents and the receiving Coach will approve the team to which the player is assigned.
SECTION 3: Transfer of players between teams will be provided by the Board only if such request for transfer is presented to the Board in the approved format by the parents, both coaches and the Board. Said transfer must be presented in writing and is in keeping with the requirements set forth by the current United States Youth Soccer Association Rules and Bylaws and Columbia River Youth Soccer Association. Recreational and Classic teams are limited to three (3) transfers per team. Registration is binding for 1 year, Sept 1 to Aug 31 midnight.
ARICLE XIII
UNIFORMS AND EQUIPMENT
SECTION 1: Club colors are royal blue and white.
SECTION 2: The Club is responsible for the purchase and disposition of all uniforms and equipment for each playing season.
SECTION 3: The uniform shall consist of one (1) pair of shorts and one (1) shirt or jersey of the Clubs colors. Uniforms purchased by Classic teams shall use predominately club colors.
SECTION 4: Uniforms will be issued by the Club for each team player including the goalkeeper. Teams are required to wear these uniforms unless an exception is made by a vote of the board.
SECTION 5: It is the responsibility of each player to return all club uniforms and equipment to their coach following their last game. A player who has not turned in Club equipment will not be allowed to play the following year until all equipment has been returned. The coach must turn in all uniforms and equipment at the end of the recreational season.
ARTICLE XIV
FUNDRAISING
SECTION 1: The Board must approve Any and all fund-raisers and sponsorships for Recreational and Classic Teams.
SECTION 2: All teams and players will participate in each Club fundraising activity unless the Board provides a release. Team requests shall be made in written form and kept on file.
ARICLE XV
ATHLETIC POLICY
SECTION 1: Except for disciplinary reasons or injury, every recreational player present and in proper uniform shall be afforded equal playing time at every game.
SECTION 2: All games other than those played within the membership of Oregon Youth Soccer Association must have prior approval of the Board. The prior approval is needed for insurance purposes and must be approved also by the Oregon Youth Soccer Association.
ARICLE XVI
COMMERCIAL SOCCER TRAINING FILM/VIDEO PROTECTION LAW
SECTION 1: Government regulation states that no profit can be made from the showing or renting of these films/videos. The penalty would be confiscation or severe fine by the United States Customs.
SECTION 2: Any person checking out a film or films will be held financially responsible in the event they are not returned to the Club by the end of the season.
SECTION 3: Coaches may check out videos, textbooks and other materials from the Coaching Coordinator on a two week check out basis.
ARTICLE XVII
COLLEGE SCHOLARSHIP FUND
A scholarship will be awarded to a Senior boy and a Senior girl each year. A minimum of $300.00, but not to exceed $500.00, will be awarded to each recipient, provided the Club has sufficient funds. These scholarships will be awarded only to players who have come up through the Centennial Soccer program. Criteria to be considered in the selection of the recipients include;

ARTICLE XVIII
DISCIPLINARY PROCEDURES
SECTION 1: Any coach, player or spectator violating basic good sportsmanship who is a member of Centennial Soccer or is attending a game as a spectator of Centennial Soccer will be subject to disciplinary actions up to and including suspension from the Club or suspension from attending games. It is the desire of the Board to promote an atmosphere of good sportsmanship and fair play at all Centennial Soccer games, whether at home or away. The Board recognizes that circumstances arise, however infrequent, that detract from the ideals of good sportsmanship and fair play and that these events must be dealt with to assure the safety of the referees, coaches, assistants, players, and the general public. It is for the safety of all parties that this article has been written. The following is meant to be non-discriminatory and to apply equally to any party conducting themselves in and un-sportsman like manner and to deal with and prescribe various levels of disciplinary actions that the Board deems appropriate for any given level of misconduct.
SECTION 2: The coach shall be the spokesperson and the Club representative at all games and as such will receive official penalties for the misconduct of all non-player persons that the referee deems are committing un-sportsmanship like conduct. These penalties may include ejection from the game and the field. It is the coaches responsibility to control not only their actions but the actions of ALL Centennial persons. If the coach has consistent problem (more than one incident) with player or spectator behavior, the coach shall give a written report to the Board for appropriate action. The following actions were patterned after existing penalties that are already in use in the sport of soccer. All accusations will be in written form before any action will be taken by the Board. The offending party will be notified in writing and will be allowed a period of time not to exceed ten days from the Boards notification to appeal the Boards action.

Minimum suspension is for a carry over to the following year if these infractions occur at the end of the season when a season long suspension would have little or no meaning.
APPEALS
SECTION 1: Anyone who was accused of violating Club rules will be allowed to appeal the Board decision up to ten days after the Board has issued its notification. Any penalty shall be in force until a written appeal is received via certified mail at the Club post office box and signed for by a Board representative. Upon receipt of an appeal letter, the Board will convene a judiciary hearing to hear all sides and give the issue full consideration. The judiciary committee shall be made up of at least three members and not more than five members.
ARTICLE XIX
CLASSIC SOCCER PROGRAM
SECTION 1: Classic Season: A centennial classic soccer season shall commence upon tryouts for Fall season through President’s Cup.
SECTION 2: Coach Selection: It is the job of the Classic Committee to notify the board of selection of all coaches for the Classic Program. Any person interested in being a Classic team coach must verbally contact the Centennial Classic Head Coach by March 15th of each year.
SECTION 3: Classic Committee: The Centennial Classic Committee will consist of the Head Coach, Vice President and Classic Registrar.
SECTION 4: Classic Team Selection: All Centennial members in a given age group and gender shall be informed in writing of the Classic team tryout dates that apply to them. There shall be one set (minimum of two dates) of open tryouts for each age group and genders. Players will be assessed by an unbiased panel of at least two (2) assessors chosen by the Classic Committee in addition to the Team Coach.
SECTION 5: Tryouts: Centennial Classic Soccer teams will select the players with the best soccer skills as demonstrated during evaluation process. In the situation when players are judged to have equal ability the priority will be given to Centennial district players over out of district players.
SECTION 6: Additions To Team Roster: Any player additions to a Centennial Classic Team will be subject to the Classic Committee Review process and OYSA guidelines.
SECTION 7: Grievance Process: The team manager is a liaison from the coaching staff to parents. Any problems or grievances that players, parents or coaches have should be handled first through the team manager. If the team can not resolve the grievance, the Classic Committee will review any grievances in writing within 14 days. Having a Team Manager is strongly recommended.
SECTION 8: Team Manager Responsibility: The team manager of each team will be responsible for the following duties.
The team manager is responsible for team’s expense budget. The teams budget should be presented to the parents at the first team meeting.
The team manger is responsible to receive and account for all funds collected or earned to pay for team activities. He/she is responsible to pay for team activities from a checking account requiring two signatures on each check. Upon request financial statement will be furnished to parents or players on the team. The team manager is required to submit a team financial statement to the club treasurer within 30 days of the end of the fall season. All funds donated or collected from the team not spent from the season will remain on account with the Centennial Soccer Club.
The team manager will submit all necessary paperwork to the Classic Registrar, including birth certificates, registrations and out of state travel papers if necessary.
The team manager will assemble and laminate signed player cards with pictures.
The team manager will maintain medical releases, birth certificates, OYSA rosters and player cards. All documents will be present at team activities.
The manager will report all yellow and red cards to Classic Committee within 7 days. The classic committee will report all yellow and red cards to the board at the next board meeting.
The manager is responsible for distributing: Practice and game schedule, picture packets and picture time.
SECTION 9: Fines & Fees: Each classic team is responsible for all fees and fines levied by OYSA for violations stated in their by-laws.
